Kumpulan Jetson to take legal action against those who sought to remove board

KUALA LUMPUR: Kumpulan Jetson Bhd plans to take legal action against requisionists of a failed attempt to call for an extraordinary general meeting (EGM) to remove the entire board of directors of the company.

"The company wishes to announce the appointment of Lee, Saw & Co. as the legal representation, as the company has decided to pursue legal action against the requisitionists for damages incurred due to the defective and invalid nature of the notice, ensuring protection of the company's interests and upholding corporate governance standards," it said in a filing with Bursa Malaysia Securities Bhd today.

Two weeks ago, the company and its board of directors announced that it would not be calling for the EGM because the notice was deemed invalid and defective.

Kumpulan Jetson said, upon checks on the record of depositors as at Dec 8, 2023, the company's secretarial agent and share registrar Securities Services (Holdings) Sdn Bhd found that the shareholders who called for the meeting held less than the requisite 10 per cent needed to call for an EGM.

It said certain requisionists also wrongly stated their shareholdings, with one Jason Ching Chou-Yi, found to have not held shares in the company at all.

On Dec 8, 2023, former executive director Tee Chee Beng and nine others came together to requisition an EGM to remove all six members of Kumpulan Jetson's board of directors.

They were to be replaced by Tee, Datuk Seri Mohmad Salleh, Chuan Sieh Yee, Joe Tee Chang Chee Lup, Boey Sook Yen and Melvin Ong Kok Ho.
